Paying your deposit
By paying a deposit, the remaining balance, or any other amount on a Make it Factory event venue invoice, you acknowledge that you have read, understand, and agree to these Event Venue Rental Terms and Conditions. You do not need to sign a separate copy for these terms to apply to your rental.
Your questionnaire, invoice, and any written confirmation from Make it Factory set the event name, date, times, guest count, spaces, furnishings, and dollar amounts for your rental. Those details become part of this agreement.
Introduction
This Venue Rental Agreement (“Agreement”) is entered between Make it Factory LLC, of 123 E College Avenue, Ashburn, Georgia 31714 (“Business”) and the person or organization named on the invoice (“Client”). The parties intend to be legally bound and, in consideration of the mutual covenants below, agree as follows.
Grant of use
According to these terms, Business grants Client use of the Make it Factory “Facility” for the event described in Client’s questionnaire, invoice, and any written confirmation from Business. Unless the invoice says otherwise, the Facility is the event venue at 123 E College Avenue, Ashburn, Georgia. If the invoice includes additional campus space, that space is part of the Facility for this Agreement.
Event name, date, maximum occupancy, start time, end time, setup time, breakdown time, furnishings, catering, and decoration details are those Client submitted and Business confirmed. Please make sure the information in the questionnaire is accurate — Business uses it to set access times and passcodes.
Rental fee and deposit
Client shall pay Business the rental fee shown on the invoice, plus any other charges due under this Agreement (the “Rental Fee”). Client shall pay the deposit shown on the invoice, which Business will apply to the Rental Fee. The remaining balance (final payment) is due 21 days before the Event Date. If the Event Date is fewer than 21 days away when the invoice is issued, the remaining balance is due upon receipt.
A date is not secured until Business has received and confirmed the required deposit. Dates are reserved on a first-paid, first-confirmed basis.
Access and passcode
Client will be given access to the building through a passcode for the SmartLock Key Box. That passcode is for the Client only. Unless Business confirms a different window, it is activated at 8:00 a.m. on the event date and deactivated two hours after the confirmed end time of the event.
Return the key to the SmartLock Key Box before the passcode deactivates. If you have questions, concerns, or need to change access times, contact venue management before the event.
Indemnification
Client shall indemnify, defend, and save harmless Business, its officers, agents, and employees from and against any and all loss, cost (including attorneys’ fees), damage, expense, and liability (including statutory liability and liability under workers’ compensation laws) in connection with claims, judgments, damages, penalties, fines, liabilities, losses, suits, and administrative proceedings arising out of any act or neglect by Client, its agents, employees, contractors, invitees, or representatives, in, on, or about the Facility. This indemnity shall survive the end of this Agreement.
Client hereby releases Business from any and all liability or responsibility to Client or anyone claiming through or under Client by way of subrogation or otherwise for any loss or damage to equipment or property of Client covered by any insurance then in force.
As-is condition
Client agrees to accept the Facility in its “as-is” condition, “with all faults.”
Termination
Business may terminate this Agreement based upon any one or more of the following:
- Failure of Client to pay the Rental Fee or any other charges due hereunder when due;
- Client fails to perform any of its covenants hereunder.
In any of those events, and in addition to any and all rights and remedies available to Business by law or in equity, Business may, with or without further notice, terminate this Agreement and expel and remove Client, or any other person or persons in occupancy, from the Facility, together with their goods and chattels, using such force as may be necessary in the judgment of Business or its agents, without evidence of notice or resort to legal process or becoming liable for any loss or damage which may be occasioned thereby, and repossess and enjoy said Facility. In addition to any other remedy it may have, Business may recover from Client all damages it may incur by reason of such breach by Client.
Interference
Client shall use the Facility in a manner which shall not interfere with the use or occupancy of other portions of the building by Business or others in any way. Client’s use will be done so as not to interfere with or impose any additional expense upon Business in maintaining the building.
Restoration
If any damage occurs to the Facility, or if any repairs or replacements need to be made to the Facility as a result of Client’s exercise of its rights under this Agreement, Client shall pay Business for any such damage, repairs, or replacements upon demand by Business.
Cancellation
Client may cancel this Agreement by written notice to Business (email to info@makeitfactory.com is sufficient):
- More than 21 days before the Event Date: no additional cancellation fee beyond the deposit. The deposit is non-refundable.
- Between 20 and 6 days before the Event Date: Client will be charged 50% of the Rental Fee and any expenses incurred in good faith by Business in preparation for Client’s use of the Facility.
- 5 days or fewer before the Event Date: Client will be charged 100% of the Rental Fee and any expenses incurred by Business.
Decor and catering
Client is responsible for making sure decor and catering materials are removed from the space at the end of the event. If decor or catering materials are left behind, unless you have spoken with a representative of Make it Factory, Client’s card on file will be charged a $35 fee for each additional day that materials are left in the building.
Business will not be held liable for any materials left behind after an event. If another event is taking place and your materials are left behind, Business is not held liable if those materials are removed by another party in order to hold their event.
Proper and improper use of decor
Clients may decorate designated areas for their event. All decorations must be removed at the conclusion of the event. The brick wall is available for hanging items. Painted walls are strictly off-limits for any form of attachment. No nails or materials that could cause peeling or damage to painted surfaces may be used. It is Client’s responsibility to ensure that all decorations are safely and completely removed following the event.
Cleaning and final inspection
Client is responsible for the cleaning and maintenance of the rented event space as detailed in this section.
Air conditioning
Do not set the temperature below 68 degrees. Make sure the unit is turned off before leaving and locking up after your event.
Trash disposal
Client shall ensure that all trash generated during the event is placed in trash bags and taken to the designated bins at the back of the premises. Any excessive trash beyond the capacity of the bins shall be removed by Client at Client’s expense. If additional bags are needed, they are located in the kitchen area underneath the sink.
Surface sanitization
Client is responsible for wiping down the bar area, tables, counters (if kitchen facilities are used), and any other surfaces used during the event, including spills, crumbs, and stains. Materials needed are located in the kitchen area underneath the sink.
Furniture arrangement
After the event, Client shall fold and stack chairs and tables, placing them against the wall in the hallway, opposite the thermostat, unless otherwise instructed by Business or venue management.
Spill management
In the event of spills or accidents, Client shall promptly clean and mop the affected area only, to prevent hazards or damage. The mop is located behind the curtain in the kitchen.
Bathroom maintenance
Client shall keep restroom facilities clean and hygienic throughout the event, including regular checks to address mess or untidiness promptly.
Post-event inspection
Before leaving, Client shall inspect the premises to confirm that the cleaning responsibilities in this section have been fulfilled.
Additional cleaning and deposit deductions
If Client cannot complete these cleaning tasks to the satisfaction of Business or venue management, Client may be required to arrange and cover the cost of professional cleaning. Failure to comply may result in deductions from any security deposit, or Client may be held liable for additional cleaning costs incurred by Business. All cleaning must comply with applicable health and safety regulations.
Permits and licenses
Client is responsible for obtaining any necessary permits or licenses required for the event before it begins. This includes, but is not limited to, permits for gatherings, alcohol service, or any other activities regulated by local or state authorities. Business will not be liable for fines, penalties, or legal issues that arise from Client’s failure to secure these permits or licenses. Client must comply with all applicable regulations to avoid disruptions to the event.
Governing law
This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia. Any legal actions, claims, or demands shall be handled in a court of competent jurisdiction within the State of Georgia.
Acceptance
These terms may be accepted electronically. Paying a deposit or any other amount on a Make it Factory event venue invoice, or typing a name as a signature on a related agreement, counts as Client’s original agreement to these terms.
